1. Agreement to Terms
By accessing or using Thyme ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
2. Description of Service
Thyme is an investor management platform designed for real estate professionals. The Service provides tools for managing investor relationships, tracking investments, sharing documents, and facilitating communication between General Partners and Limited Partners.
3. User Accounts
3.1 Account Creation
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
3.2 Account Types
The Service offers different account types including General Partner accounts and Limited Partner accounts. Each account type has different permissions and capabilities as described in our documentation.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Transmit malware, viruses, or harmful code
- Attempt to gain unauthorized access to the Service
- Interfere with or disrupt the Service
- Scrape or collect data without authorization
- Impersonate any person or entity
- Use the Service to send spam or unsolicited messages
5. Intellectual Property
5.1 Our Intellectual Property
The Service, including its original content, features, and functionality, is owned by Thyme and protected by copyright, trademark, and other intellectual property laws.
5.2 Your Content
You retain ownership of any content you upload to the Service. By uploading content, you grant us a license to use, store, and display that content as necessary to provide the Service.
6. Subscription and Payments
6.1 Billing
Paid features require a subscription. You agree to pay all fees associated with your subscription plan. Fees are billed in advance on a monthly or annual basis.
6.2 Cancellation
You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing period. We do not provide refunds for partial billing periods.
6.3 Price Changes
We reserve the right to change our prices. We will provide notice of price changes before they take effect.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
THYME IS A SOFTWARE PLATFORM AND DOES NOT PROVIDE INVESTMENT, LEGAL, TAX, OR ACCOUNTING ADVICE. YOU SHOULD CONSULT WITH QUALIFIED PROFESSIONALS FOR SUCH MATTERS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THYME SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless Thyme, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
11. Termination
We may terminate or suspend your account at any time for any reason, including violation of these Terms. Upon termination, your right to use the Service will immediately cease.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
13. Dispute Resolution
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page. Your continued use of the Service after changes constitutes acceptance of the new Terms.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
